Terms and Conditions of Sale

Clearance or Distressed Inventory | As-Is Equipment

These Terms and Conditions of Sale (“Terms”) apply to the purchase of HVAC equipment (“Equipment”) sold under the Clearance or Distressed Inventory (“Program”). By purchasing Equipment from this Program, the Buyer agrees to the following:

  1. As-Is Condition
    • All Equipment is sold strictly “AS-IS, WHERE-IS, WITH ALL FAULTS.”
    • Buyer acknowledges that Equipment may have cosmetic damage, dents, scratches, missing components, or other defects.
  2. Inspection
    • Buyer is responsible for inspecting the Equipment prior to purchase.
    • Any failure to inspect shall not create any liability for Seller.
    • Buyer accepts the Equipment in its current condition at the time of sale.
  3. Warranty
    • Manufacturer’s warranty may not apply to Equipment sold under this Program. Buyers should assume that no manufacturer’s warranty is available.
  4. No Returns / Exchanges
    • All sales are final.
    • No returns, refunds, credits, or exchanges will be accepted for any reason once the Equipment is purchased.
  5. Limitation of Liability
    • Seller shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of the purchase, possession, or use of the Equipment.
    • Buyer’s sole remedy is limited to accepting the Equipment in its current condition or choosing not to purchase.
  6. Risk of Loss
    • Title and risk of loss pass to Buyer upon full payment and delivery of Equipment.
    • Seller is not responsible for damage, loss, or theft after delivery.
  7. Payment
    • Payment terms are as stated on the invoice.
    • Equipment must be paid in full prior to delivery or pickup.
  8. Governing Law
    • These Terms are governed by and construed in accordance with the laws of the state in which the sale is made.
  9. Entire Agreement
    • These Terms constitute the entire agreement between Seller and Buyer regarding the sale of Equipment under this Program and supersede any prior agreements, representations, or warranties.
